These Terms of Service (“Terms”) govern your access to and use of the IRMA Engine websites and platform (the “Services”), operated by IRMA Engine (“IRMA Engine,” “IRMA,” “IRMAN,” “Internet Reasoning Modal Aggregator,” “we,” “us,” or “our”), a subsidiary of Digital Innovations Group (“DIG”).

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1) Who We Are / What We Provide

IRMA Engine is an execution platform that may include: lead intelligence workflows, outreach automation, multi-channel agents, campaign and reporting modules, learning/enablement modules, an affiliate execution network, transparency features (including optional live execution visibility), and white-label infrastructure. Features may vary by plan and configuration.

2) Eligibility and Account Registration

You must be at least 18 years old to use the Services. You agree to provide accurate information, keep your credentials secure, and promptly notify us of unauthorized access.

If you use the Services on behalf of an organization, you represent you have authority to bind that organization, and “you” includes the organization.

3) Plans, Subscriptions, Credits, and Payments

A. Subscriptions and fees

Some Services require payment. Pricing, billing frequency, and plan features are presented at purchase or in an order form.

B. Credits / usage-based consumption

Certain features may use credits or usage-based consumption. Credits may have expiration rules or plan-based limits as described in your plan or order form.

C. Renewals and cancellation

If your plan auto-renews, it will renew unless you cancel before renewal. Cancellation takes effect according to your plan terms. Fees are generally non-refundable except where required by law or explicitly stated otherwise.

D. Taxes

You are responsible for applicable taxes unless we are required to collect them.


4) Acceptable Use

You will not:

  • Use the Services for unlawful, deceptive, or harmful activities;

  • Violate platform policies of third-party services you connect;

  • Send spam or unlawful communications;

  • Attempt to gain unauthorized access, probe security, or disrupt the Services;

  • Reverse engineer, scrape, or misuse the Services except as allowed by law or written permission;

  • Use the Services to infringe intellectual property or privacy rights.


We may suspend or terminate access if we reasonably believe you violated these Terms or pose risk to the Services or others.

5) Customer Responsibilities (Compliance & Content)

You are responsible for:

  • The content you upload, generate, publish, or distribute using the Services;

  • Ensuring you have the rights/permissions to use data and content;

  • Compliance with applicable laws and regulations (including marketing, advertising, messaging, and privacy laws) and third-party platform policies.


We provide software and execution tooling; we do not provide legal advice.


6) AI Features and Outputs

The Services may include AI-assisted features (including agents, automations, recommendations, and generated content). AI outputs may be inaccurate or incomplete. You are responsible for reviewing outputs before use, especially where compliance, reputational, financial, or legal impacts may exist.

7) Affiliate Execution Network Terms

If you apply to or participate as an affiliate:

  • Participation is subject to approval and ongoing eligibility.

  • Tasks must be completed according to instructions, templates, and rules.

  • We may apply quality controls, verification checks, and dispute resolution processes.

  • Credits or other rewards (if offered) are based on verified completion and program rules. No earnings, volume, or payout is guaranteed.

  • Affiliates are independent participants, not employees, agents, or joint venture partners of IRMA Engine or DIG.


We may suspend or remove affiliates for policy violations, low-quality completion, abuse, fraud, or other risk factors.


8) White-Label / Partner Terms

If you access white-label features:

  • You are responsible for your branding, client communications, and compliance obligations.

  • You must not misrepresent IRMA Engine functionality or make unauthorized claims.

  • Additional partner terms may apply via an order form or partner agreement.


9) Intellectual Property

We and our licensors own the Services, including software, designs, trademarks, and content (excluding your content). You receive a limited, revocable, non-transferable right to access and use the Services under these Terms.

“IRMA,” “IRMAN,” and “IRMA Engine” are trademarks/service marks of DIG or its affiliates (as applicable). You may not use our marks without written permission.


10) User Content

You retain ownership of content you submit (“User Content”). You grant us a worldwide, non-exclusive license to host, process, transmit, and display User Content solely to provide and improve the Services, comply with law, and enforce these Terms.

You represent you have rights to submit User Content and that it does not violate law or third-party rights.

11) Third-Party Services

The Services may integrate with third-party services. Your use of third-party services is governed by their terms. We are not responsible for third-party services’ availability, security, or practices.


12) Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.


13) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IRMA ENGINE, DIG, AND THEIR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR $100 IF YOU HAVE NOT PAID ANY AMOUNT), UNLESS A HIGHER AMOUNT IS REQUIRED BY LAW.


14) Indemnification

You agree to defend, indemnify, and hold harmless IRMA Engine, DIG, and their affiliates from claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of law or third-party rights.

15) Termination

You may stop using the Services at any time. We may suspend or terminate access at any time for violations or risk. Upon termination, your right to use the Services stops. Certain sections (e.g., IP, disclaimers, limitation of liability, indemnification, dispute resolution) survive termination.

16) Dispute Resolution; Arbitration; Class Action Waiver (Optional but common in U.S. SaaS)

A. Informal resolution

Before filing a claim, you agree to contact us to attempt to resolve the dispute informally.

B. Binding arbitration

Except for claims that may be brought in small claims court or for injunctive relief, disputes will be resolved by binding arbitration administered by a recognized arbitration provider under its rules.

C. Class action waiver

You agree to bring claims only in your individual capacity and not as a plaintiff or class member in any class, collective, or representative action.

D. Venue for excluded claims

For disputes not subject to arbitration, you agree to exclusive jurisdiction in the state and federal courts located in [Your County, Your State].


17) Governing Law

These Terms are governed by the laws of the State of [Your State], without regard to conflict of law rules.


18) Changes to Terms

We may update these Terms from time to time. We will update the “Last Updated” date and provide notice where required. Continued use after changes means you accept the updated Terms.
